1. About these terms
1.1 These terms apply to all services provided by Inkrise, the trading name of Georgia Brookes, a sole trader based at 8 Sandwell Close, Long Eaton. ("I", "me"), to you, the client ("you").
1.2 Together with your proposal or booking confirmation, they form our agreement. If anything in your proposal differs from these terms, the proposal takes priority.
1.3 My services are provided to businesses. By booking, you confirm you are acting for your business, not as a consumer.
2. Quotes and bookings
2.1 Quotes and proposals are valid for 30 days.
2.2 A booking is confirmed once you have accepted the proposal in writing (email is fine) and paid any deposit due.
2.3 Any work outside the agreed scope will be quoted separately before I start it.
3. Fees and payment
3.1 One-off projects (such as the Brand Audit and Brand Foundations): 50% deposit to book, and 50% on completion before final files are delivered.
3.2 Content Days: paid in full to secure your date.
3.3 Retainers: paid monthly in advance, on the same date each month.
3.4 Invoices are due within 14 days unless stated otherwise.
3.5 If payment is late, I may pause work until it is received. I may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
3.6 Prices are in pounds sterling. I am not currently VAT registered.
3.7 Travel costs for content days beyond 30 miles of Nottingham, and any agreed expenses such as props or location hire, are charged at cost.
4. Retainers (Content Retainer and Brand Partner)
4.1 Retainers have a minimum term of 3 months. After that, they continue month to month until either of us gives 30 days' written notice.
4.2 Each month's deliverables are set out in your package. Unused deliverables, such as a shoot you choose not to book, don't roll over to the next month unless we agree otherwise in writing.
4.3 If you end the retainer during the minimum term, the remaining months up to the end of that term are still payable.
4.4 I may review retainer prices once a year, with at least 30 days' notice.
5. Content days
5.1 You can rearrange a content day free of charge with at least 7 days' notice. Changes with less notice may be charged at 50% of the fee.
5.2 If you cancel with less than 48 hours' notice, the full fee is payable.
5.3 If I have to rearrange because of illness or an emergency, I'll offer a new date as soon as possible at no extra cost.
5.4 You are responsible for getting permission from anyone who appears in photos or videos, and from the owner of any location we use.
6. Revisions and approval
6.1 Written work (such as guidebooks and website copy) includes 2 rounds of revisions. Further changes are charged at £35 per hour.
6.2 Edited content includes 1 round of minor edits. Reshoots are quoted separately.
6.3 If I don't hear back within 10 working days of sending work for review, I'll treat it as approved.
7. Your responsibilities
7.1 To keep projects on track, you agree to provide information, feedback, logins (where needed for website updates) and brand materials on time.
7.2 Delays on your side may change delivery dates.
7.3 You are responsible for posting and publishing. I create content ready to post, but you review it and decide what to publish. You are responsible for checking any claims, prices or offers before they go live.
7.4 You confirm you own, or have permission to use, any logos, images, music or other material you give me.
8. Ownership and use of work
8.1 Once you've paid in full, you own the final deliverables I create for you (such as copy, guidebooks, edited photos and videos) and can use them for your business.
8.2 I keep ownership of my own templates, processes and working materials, and of any unused or unedited footage, unless we agree otherwise.
8.3 I may show work I've created for you in my portfolio, on my website and on social media, unless you ask me not to in writing. I'll never share confidential information.
9. Results
9.1 I'll always work with reasonable skill and care. However, I can't guarantee specific results, such as search rankings, follower numbers, enquiries or sales, because these depend on factors outside my control, including platform algorithms.
10. Confidentiality and data
10.1 We'll each keep the other's confidential business information private, during our work together and afterwards.
10.2 I'll handle any personal data in line with my Privacy Policy and UK data protection law.
11. Liability
11.1 My total liability to you under our agreement is limited to the fees you have paid me in the 3 months before the claim.
11.2 I'm not liable for indirect losses, such as loss of profit, business or reputation.
11.3 Nothing in these terms limits liability that can't legally be limited, such as for fraud, or death or personal injury caused by negligence.
12. Ending our agreement
12.1 Either of us can end the agreement straight away by written notice if the other seriously breaches these terms and doesn't put it right within 14 days of being asked.
12.2 If our agreement ends, you'll pay for all work completed up to that point. Deposits are non-refundable once work has started.
13. Things outside our control
13.1 Neither of us is responsible for delays caused by events beyond our reasonable control, such as severe illness, extreme weather or technical failures. We'll agree new timings as soon as possible.
14. General
14.1 I may update these terms from time to time. The version that applies is the one in place when you book.
14.2 These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
